Bozeman Coin Club Articles of Incorporation

ARTICLE I - TITLE AND OBJECT

SECTION 1. This organization shall be known as Bozeman Coin Club (BCC).

SECTION 2. The object of BCC shall be to encourage and dispense numismatic knowledge to collectors and those interested in becoming collectors and to cultivate fraternity among its members. BCC is organized exclusively for charitable, educational, and scientific purposes under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future tax code.

SECTION 3. No part of the net earnings of BCC shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that BCC shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Section 2 hereof. No substantial part of the activities of BCC shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and BCC shall not participate in, or intervene in (including the publishing and distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these sections, BCC shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code or the corresponding section of any future tax code.

SECTION 4. Upon the dissolution of BCC, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.

SECTION 5. BCC shall proceed towards membership in the American Numismatic Association and any future Montana State Numismatic Association upon majority vote.

SECTION 6. BCC may sponsor and promote “coin shows” to raise funds for the stated objectives of this Club.

SECTION 7. BCC may conduct numismatic item and material auctions within its membership.

ARTICLE II - MEMBERSHIP

SECTION 1. Any person over eighteen years of age shall be considered for full BCC Membership and entitled to one vote; individuals under eighteen years of age shall be eligible for junior membership without voting entitlement.

ARTICLE III - OFFICERS

SECTION 1. BCC officers shall include a President, Vice-President, Secretary and Treasurer and three (3) Board of Directors (BOD), two of whom shall be nominated and elected at each annual meeting and shall serve for two years. The immediate past President is to become an automatic member of the board until the next President replaces this person.

SECTION 3. Officers and Directors may stand for re-election in said office for one term, Treasurer for two terms.

SECTION 4. Officer or Director vacancy shall be immediately filled by nomination and election by members in good standing in accordance with established procedure.

SECTION 5. Any member of one year in good standing shall be eligible for office.

ARTICLE IV - AMENDMENTS

SECTION 1. This Constitution may be amended by a three-fourths majority vote involving all members.

SECTION 2. Amendments may not be voted upon during the same meeting at which they are proposed.

SECTION 3. Members absent from meeting at which amendment meeting is scheduled may vote by written and dated proxy received by the Secretary prior to the election.

Bozeman Coin Club Member Code of Ethics

Membership in the Bozeman Coin Club (BCC) is a privilege and not a right, and it can be maintained unless the Officers and Board of Directors determines by a two-thirds vote that the conduct of a member has been such that it is in the best interest of BCC to terminate his/her membership. For the guidance of its members, this Member Code of Ethics has been adopted by BCC.

A BCC member shall:

- Support and be governed by the BCC Constitution.

- Conduct his/herself courteously and constructively before, during, and after club meetings and events, and conduct his/herself at all times so as to bring no reproach or

discredit to BCC or impair the prestige of the members.

- Neither buy nor sell numismatic items of which the ownership is questionable nor make knowingly false statements about a numismatic item.

- Fulfill all oral or written contracts, make prompt payments upon delivery of an item, return immediately items that are not satisfactory, and take immediate steps to correct

errors made by him/her in transactions.
